These Terms and Conditions (“Terms”) govern your rights and obligations regarding the use of the Civify mobile application and related services (collectively, the “Service”), operated by NAVI INNOVATION LABS, S.L. (“hereafter referred to as “NaviLabs”)

These Terms form a binding legal agreement between you and Civify. By accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree with these Terms, you may not access or use the Service.

1. The Service

NaviLabs offers audio-guided, geolocated tours and travel-related content, allowing users to explore cultural destinations through their mobile devices. Some features work offline once the content is downloaded. You may also save, manage, and share routes or points of interest.

2. License

We grant you a personal, non-exclusive, non-transferable, revocable license to download and use the NaviLabs app and related content solely for personal, non-commercial use, in accordance with these Terms.

You may not:

• Sell, lease, sublicense or distribute the Service.
• Use the Service as part of another product or service without our written permission.
• Use the Service for commercial or promotional purposes.

3. Use Restrictions

You agree not to:

• Copy, modify, reverse engineer or decompile the app or any part of its content.
• Circumvent any security features or use the Service in a harmful or unlawful way.
• Harvest or collect information from other users without their consent.
• Interfere with the functioning of the Service or its servers.
• Violate any third-party rights, including copyright and privacy.

4. Termination

You may stop using the Service at any time. If you wish to delete your account and associated data, you may request it via the app’s settings. NaviLabs may suspend or terminate your access at any time for violation of these Terms or for any reason deemed necessary.

5. Intellectual Property

All intellectual property rights in the Service, including content, trademarks, logos, and software, belong to NaviLabs or its licensors. You may not use them without our prior written consent.

6. Apple Device Users

If you access the Service through an Apple device, you acknowledge that:

• Apple is not responsible for the Service.
• You have no claim against Apple regarding the Service.
• Apple may enforce these Terms against you as a third-party beneficiary.

7. Export Control

You represent that you are not located in a country subject to U.S. embargoes or on any U.S. government list of restricted parties.

8. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind. We do not guarantee the Service will be uninterrupted, error-free, or meet your expectations. Your use of the Service is at your own risk.

9. Limitation of Liability

To the fullest extent permitted by law, NaviLabs shall not be liable for any direct or indirect damages resulting from your use of the Service, including loss of data, business, or profits.

10. Indemnity

You agree to indemnify and hold NaviLabs and its officers, directors, and affiliates harmless from any claim, loss, or damage resulting from your breach of these Terms or misuse of the Service.

11. Changes to the Service

We may modify or discontinue the Service at any time, with or without notice. We are not liable for any resulting loss or inconvenience.

12. Changes to These Terms

We may update these Terms periodically. Continued use of the Service after such updates constitutes your acceptance of the revised Terms. If you do not agree, you must discontinue use.

13. Governing Law

These Terms are governed by the laws of Spain. Any disputes will be subject to the exclusive jurisdiction of the courts of Madrid.
